Terms of Service

By using CallGrid, you agree to these terms. Please read them carefully before creating an account or using our services.

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of CallGrid ("the Service"), a medical residency call scheduling platform operated by CallGrid ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

If you are using the Service on behalf of a medical institution or organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

CallGrid provides a scheduling platform designed for medical residency programs to manage call schedules, track assignments, and facilitate schedule swaps among residents. The Service includes:

  • Call schedule creation and management
  • Resident assignment tracking
  • Time-off request management
  • Schedule swap request workflows
  • Schedule validation and conflict detection

3. Account Registration

To use CallGrid, you must create an account and provide accurate, complete information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent or harmful activities.

4. Acceptable Use

You agree to use CallGrid only for lawful purposes and in accordance with these Terms. You agree NOT to:

  • Use the Service in any way that violates applicable laws or regulations
  • Attempt to gain unauthorized access to any part of the Service
  • Interfere with or disrupt the integrity or performance of the Service
  • Upload or transmit viruses, malware, or other harmful code
  • Use the Service to harass, abuse, or harm others
  • Scrape, data mine, or extract data from the Service without authorization
  • Impersonate another person or misrepresent your affiliation

5. Data and Privacy

Your use of CallGrid is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to our data practices as described in the Privacy Policy.

You retain ownership of the data you input into CallGrid. We claim no ownership rights over your schedule data, resident information, or other content you provide.

6. Healthcare Disclaimer

Important: CallGrid is a scheduling tool only. It does not provide medical advice, diagnosis, or treatment recommendations. Schedule assignments made through CallGrid do not constitute medical staffing decisions and should be reviewed by appropriate program administrators.

Your institution remains solely responsible for ensuring adequate medical coverage and compliance with applicable healthcare regulations, including ACGME duty hour requirements.

7. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

  • Scheduled maintenance (we will provide advance notice when possible)
  • Emergency repairs or updates
  • Factors beyond our reasonable control

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CALLGRID AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, data, or business opportunities
  • Scheduling errors or conflicts
  • Service interruptions or data loss
  • Actions taken based on schedule information

Our total liability for any claims arising from your use of the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless CallGrid and its affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service or violation of these Terms.

10. Account Termination

You may close your account at any time by contacting us. We may suspend or terminate your access to the Service if:

  • You violate these Terms
  • Your subscription payment fails
  • We are required to do so by law
  • We discontinue the Service (with reasonable notice)

Upon termination, your right to use the Service ceases immediately. We may retain certain data as required by law or for legitimate business purposes.

11. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or through the Service. Your continued use of CallGrid after such modifications constitutes acceptance of the updated Terms.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles. Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

You agree that any dispute resolution proceedings will be conducted on an individual basis and not in a class, consolidated, or representative action.

13. General Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and CallGrid.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
  • No Waiver: Our failure to enforce any right does not constitute a waiver of that right.
  • Assignment: You may not assign these Terms without our consent. We may assign our rights and obligations freely.
